2.1. The content, organization, graphics, design, compilation and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary rights. The copying, redistribution, use or publication by you of any such matters or any part of the Site, is strictly prohibited. You do not acquire ownership rights to any content, document or other materials viewed through the Site.

2.2. The viewing, printing or downloading of any content, graphic, form or document from the Site grants you only a limited, nonexclusive license for use solely by you for your own personal use and not for republication, distribution, assignment, sublicense, sale, or preparation of derivative works.

2.3. TDS Telecom provides access to information through this Site and via the Internet to other sites of all kinds relating to a wide variety of subjects on virtually any topic imaginable. Some of this material may be offensive, misleading, or controversial in nature. Please use good judgment when accessing the Internet, and supervise minors.

2.4. TDS Telecom is continually updating and improving its Site, as well as upgrading equipment to meet evolving technological standards used by the industry. These changes may occasionally cause degraded or interrupted access to the Site.

3.1. If you are dissatisfied with the Site or any of its terms, conditions, rules, policies, guidelines, or practices, your sole and exclusive remedy against TDS Telecom or the TDS-affiliated Parties is to discontinue using the Site.

3.2. ALL INFORMATION YOU RECEIVE FROM OR THROUGH THE SITE IS PROVIDED “AS-IS,” “AS-AVAILABLE,” AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, COURSE OF DEALING OR USAGE OF TRADE). THE SITE MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. TDS TELECOM AND TDS-AFFILIATED PARTIES HAVE NO LIABILITY WHATSOEVER FOR YOUR USE OF THE SITE, INABILITY TO USE THE SITE OR YOUR RELIANCE ON OR USE OF INFORMATION FROM THE SITE OR THROUGH THE SITE THAT RESULTS FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETIONS OF FILES, ERRORS, DEFECTS, DELAYS IN OPERATION OR ANY FAILURE OF PERFORMANCE. IN PARTICULAR, BUT NOT AS A LIMITATION, TDS TELECOM AND TDS-AFFILIATED PARTIES ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION OR THE LIKE, WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT, (INCLUDING NEGLIGENCE) PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE NEGATION OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN TDS TELECOM AND YOU. THE SITE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

3.3. IF APPLICABLE LAW DOES NOT ALLOW THE LIMITATION ON LIABILITY OR EXCLUSION OF SPECIFIC DAMAGES SET FORTH ABOVE, OR IF ANY PART OF THIS LIMITATION OF LIABILITY IS FOUND TO BE INVALID OR UNENFORCEABLE FOR ANY REASON, THEN THE AGGREGATE LIABILITY OF TDS TELECOM AND TDS-AFFILIATED PARTIES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

3.4. You acknowledge that access to and use of the Site may expose your data, computer system, and network to viruses, adware, snoopware, spyware, malware, hijackware, key loggers, trojan horses, worms and other malicious code that may threaten the security and operation of your system and network (collectively, “malicious code”). All responsibility or liability for any damages, loss of data, or invasion of your privacy caused by malicious code contained within any electronic file you access through or obtain from the Site is disclaimed by you and TDS Telecom.

3.5. TDS Telecom may provide access to third-party merchant sites (“Merchants”) from which you may purchase certain goods or services. You understand that TDS Telecom does not operate or control the products or services offered by Merchants and that TDS Telecom is not a party to the transaction entered into between you and Merchants. You agree that use of such Merchants is at your sole risk and is without warranties of any kind by Us, expressed, implied or otherwise including warranties of title, fitness for purpose, merchantability or non-infringement. Under no circumstances will TDS Telecom or TDS-affiliated parties be liable for any damages arising from the transactions between you and Merchants or for any information appearing on Merchant’s sites or any site linked to a Site or a TDS-affiliated Parties site.

3.6. You agree to defend, indemnify, and hold TDS Telecom and TDS-affiliated Parties harmless from any and all liabilities, costs, and expenses, including reasonable attorneys' fees, related to or arising from your use of the Site or the Internet.

4.1. Nothing in the Site constitutes investment advice or recommendations, including links to SEC filings, other investor relations materials or other information. TDS Telecom provides investor relations materials for your convenience and information only. The investor relations materials and other content on the Site are not offers to sell or solicitations of an offer to buy or sell any security.

4.2. Any hyperlinks to third party websites and information with respect to third parties are provided solely for your convenience. If you use these links, you will leave the Site. TDS Telecom has not reviewed these third-party sites for accuracy, completeness, compliance with laws or otherwise and does not control and is not responsible for any of these sites or their content including any further links in a third-party site. TDS Telecom does not endorse or make any representations about them, or any information, software or other products or materials found there, or any results that may be obtained from using them. If you decide to access any of the third-party sites linked to the Site, you do this entirely at your own risk. Not in limitation of the provisions of “Section 3. Limitation of Liability and Indemnification,” TDS disclaims all responsibility for all content on any third-party websites and any other third-party content and information.

4.3. If a third-party links to a Site, it is not an indication of an endorsement, authorization, sponsorship, affiliation, joint venture or partnership by or with TDS Telecom or that TDS Telecom has authorized or is even aware or have knowledge that a third party has linked to a Site. Any links to a Site or contents of a Site are prohibited, except as follows: a web site that links to a Site (a) must comply with all applicable law, (b) must not replicate Site content; (c) must not create a browser, border environment, or frame Site content; (d) must not imply that TDS Telecom is endorsing it or any products, services, views or anything or any nature whatsoever; (e) must not misrepresent its relationship with TDS Telecom; (f) must not present false or misleading information about TDS Telecom’s products or services; and (g) must not contain content that could be construed as distasteful, offensive or controversial and must contain only content that is appropriate for all age groups as TDS Telecom determines in its sole discretion. TDS Telecom reserves the right to require the removal of any links to a Site for any reason in its sole discretion.

5.1. These Terms of Use, the Privacy Policy, and the Acceptable Use Policy constitute the entire understanding of the parties with respect to TDS Telecom’s provision of, and your access to, the Site.

5.2. TDS Telecom's failure to enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver.

5.3. These Terms of Use shall be governed by and construed in accordance with the laws of the State of Illinois, United States of America, without regard to its conflicts of law provisions. You consent to the personal jurisdiction of the federal and state courts located in Chicago, Illinois with respect to all disputes between you and TDS Telecom arising out of these Terms of Use or your use of the Site.

5.4. Any cause of action you may have with respect to the Site must be commenced within one year after the claim or cause of action arises or such claim or cause of action is barred.

5.5. Neither these Terms of Use, nor any of your rights or obligations arising hereunder, shall be transferable or assignable by you to any third party without TDS Telecom's prior written consent. TDS Telecom shall have the right to assign all or part of its rights and obligations under this Agreement.

5.6. No amendment or modification to these Terms of Use by you shall be valid or binding on TDS Telecom unless made in writing and signed by an authorized representative of TDS Telecom.
